Roles and responsibilities

1. Legal Expertise in Finance

• Corporate Finance: Understanding the legal issues related to raising capital, including debt and equity financing, and structuring complex financial transactions.
• Regulatory Compliance: Knowledge of financial regulations and statutes such as the Securities Act of 1933, Dodd-Frank Act, and other relevant national and international financial regulations.
• Securities Law: Expertise in securities regulations, including the issuance of stocks, bonds, and other financial instruments, as well as compliance with the SEC rules and requirements.
• Banking & Lending: Advising clients on lending transactions, including secured and unsecured loans, credit facilities, and banking regulations.
• Mergers & Acquisitions (M&A): Assisting in structuring and negotiating financing for M&A transactions, including due diligence, financing arrangements, and post-merger integration.
• Investment Funds: Advising on the formation and operation of investment funds (e.g., private equity, hedge funds), including regulatory compliance and structuring.

2. Drafting & Negotiation Skills

• Drafting Finance Documents: Drafting legal documents such as loan agreements, credit facilities, subscription agreements, investment management contracts, and securities filings.
• Transaction Structuring: Assisting in the structuring of complex financial transactions, such as debt offerings, equity deals, and other investment vehicles.
• Negotiation: Engaging in negotiations on behalf of clients to reach favorable terms in financing agreements, investment terms, and other finance-related transactions.
• Due Diligence: Conducting due diligence to ensure that all relevant legal and financial information is disclosed and to mitigate any potential risks in transactions.

3. Client Advisory & Relationship Management

• Client Communication: Communicating effectively with clients to understand their financial and business needs, providing strategic legal advice, and guiding them through financial transactions.
• Financial Strategy Advice: Advising clients on the legal aspects of financing strategies, including risk management, corporate restructuring, or investment strategies.
• Transaction Management: Managing client expectations and ensuring smooth execution of financial transactions, from initial negotiations to closing.
• Industry Insight: Providing insights on industry trends and market developments that might impact client investments, mergers, or financing decisions.

4. Research & Financial Analysis

• Market Research: Conducting research into financial markets, financial products, and industry-specific regulations to stay informed on the latest developments in finance law.
• Risk Assessment: Assessing legal and financial risks in transactions, advising clients on how to manage or mitigate those risks, and ensuring legal compliance.
• Financial Modeling: Understanding and applying financial models to assess the financial viability and legal structure of deals, especially when working with investment funds or structuring financing agreements.

5. Transaction Support & Documentation

• Due Diligence and Compliance: Ensuring all aspects of the deal meet regulatory requirements, conducting background checks, reviewing financial documents, and confirming that all legal requirements are met.
• Transaction Closing: Assisting with the closing process, including the finalization of documents, ensuring all conditions are met, and coordinating with other parties involved (banks, investors, etc.).
• Document Review & Revision: Reviewing and revising transaction-related documents to ensure all terms are favorable to clients and comply with applicable laws.

Desired candidate profile

The Associate will be working closely with some of the region’s most prestigious Partners and one of the most diverse teams. This will be a general banking & finance role where in which the candidate will be getting involved in a wide range of work with a focus on secured and syndicated matters across the region and on an international basis.

To be considered for this opportunity, the successful candidate will be at the NQ-1PQE level, trained and qualified at a magic circle/U.S law firm in England & Wales or New York. Regional experience preferred however not a requirement.

• Legal Research Platforms: Westlaw, LexisNexis, or Bloomberg Law for conducting in-depth financial and legal research.
• Document Management: iManage, NetDocuments, or Document Management Systems for organizing and managing transaction-related documents and client files.
• Financial Databases: PitchBook, Bloomberg Terminal, or Thomson Reuters for financial data, market intelligence, and deal information.
• Contract Management: DocuSign, ContractWorks, or Contract Express for managing contracts, signatures, and document workflows.
• Project Management: Trello, Asana, or Monday.com for managing tasks, deadlines, and document reviews across teams.
